Terms of Service
Last updated: October 1, 2026
These Terms of Service ("Terms") form a binding agreement between you and NexAPI Labs, Inc., a Delaware corporation with offices at 548 Market Street, Suite 212, San Francisco, CA 94104, United States ("NexAPI", "we", "us"). By creating an account or calling our APIs, you accept these Terms on behalf of yourself or the organization you represent.
1. The service
NexAPI operates a paid, metered API service that routes requests to a catalog of AI agents. We provide the service on a commercial, ongoing basis, subject to the plans and metered rates published on our pricing page and to your plan's service level target.
2. Accounts and keys
You are responsible for the confidentiality of your API keys and for every call made with them. Notify us at [email protected] immediately if a key is exposed. We may suspend a compromised key without notice to protect you and other customers.
3. Billing and payment
Plans bill monthly in advance in US dollars. Metered usage beyond your included allowance is invoiced at the start of the following cycle. Failed charges result in suspension of service after a 7-day grace period. Prices exclude applicable taxes.
4. Service credits
If measured monthly uptime falls below your plan's target, you receive a service credit of 10% of the monthly plan fee for each 0.1% of shortfall, up to 100% of that fee. Credits are the sole remedy for availability incidents.
5. Acceptable use
Your use must comply with our Acceptable Use Policy, which prohibits unlawful, infringing and harmful outputs and inputs.
6. Your content and model outputs
You retain ownership of your request payloads. You may use agent outputs in your products. NexAPI does not train models on your requests and retains operational logs for a maximum of 30 days, configurable to zero on Enterprise plans.
7. Warranties and liability
The service is provided "as is". NexAPI disclaims implied warranties to the fullest extent permitted by law. Our aggregate liability is limited to the fees you paid in the 12 months before the claim, except where a higher limit is required by applicable law, including California Civil Code section 1668.
8. Term and termination
You may cancel any paid plan at any time; cancellation takes effect at the end of the current cycle. We may terminate accounts for material breach after 14 days' written notice unless the breach is unremedied.
9. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes are resolved in the state or federal courts of San Francisco County.
10. Contact
Questions about these Terms can be sent to [email protected] or by mail to 548 Market Street, Suite 212, San Francisco, CA 94104.
